Board processes and attendance at meetings
There is a list of the types of decisions reserved for the Board, which is reviewed annually by the Board. In addition, an agenda plan is prepared with the aim of ensuring that the Board considers all the matters that it should, while allowing for other business. The agenda plan is reviewed regularly.
In 2017, the Board held four regular Board meetings. The Board meetings are for setting and monitoring strategy, reviewing trading performance, guiding business development, examining acquisition possibilities and approving reports to shareholders. In addition, the Board approves the annual budget and any budget updates. The attendance of the individual directors at the regular Board meetings and the Audit and Remuneration Committee meetings during the year ended 2017 were as follows:

The Nomination Committee did not meet during the year.
Messrs. Eke and Wolff were not members of the Audit, Remuneration or Nomination Committees in 2017.

The Directors are responsible for the company’s system of internal control and for reviewing its effectiveness. However, such a system is designed to manage rather than eliminate the risk of failure to achieve business objectives, and it can only provide the Directors with reasonable and not absolute assurance against material misstatement or loss.
